1. Agreement to Terms

By accessing or using Converta ("Service"), operated by Sinha Reccom, a proprietorship firm registered in Bengaluru, India ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a legally binding agreement between you and Sinha Reccom. Your use of the Service indicates your acceptance of these Terms.

2. Description of Service

Converta is a data analytics and marketing intelligence platform that:

• Connects to e-commerce platforms (e.g., Shopify) to analyze customer data
• Provides AI-powered insights, audience segmentation, and campaign recommendations
• Generates automated marketing campaigns and personalization rules
• Provides a storefront concierge chat assistant and conversation analytics tooling
• Offers performance tracking and analytics dashboards

The Service is provided "as-is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Obligations and Responsibilities

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Use the Service only for lawful purposes and in accordance with these Terms
• Obtain necessary permissions and consents before connecting third-party platforms
• Comply with all applicable laws, including data protection and privacy laws
• Not use the Service to violate any laws or infringe on third-party rights
• Not attempt to reverse engineer, decompile, or extract source code from the Service
• Not use automated systems to access the Service without our written permission

4. Acceptable Use Policy

You agree NOT to:

• Any outstanding fees remain due and payable

6. Intellectual Property Rights

The Service, including its original content, features, functionality, design, logos, and trademarks, is owned by Sinha Reccom and protected by Indian and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

You retain ownership of any data you provide to the Service. By using the Service, you grant us a license to use, process, and analyze your data to provide the Service and improve our offerings.

7. Data Processing and Privacy

By using the Service, you consent to our data processing practices as described in these documents. You are responsible for ensuring you have the right to provide any data you submit to the Service.

If you enable concierge chat features, you are responsible for providing legally required notices/consent to your end users and for configuring transcript visibility/retention in accordance with applicable laws.

8. AI-Generated Content and Disclaimers

The Service uses artificial intelligence to generate insights, recommendations, and content. You acknowledge and agree that:

• AI-generated insights are recommendations only and not guarantees of results
• You are solely responsible for evaluating and implementing any recommendations
• We make no warranties regarding the accuracy, completeness, or usefulness of AI-generated content
• You should not rely solely on AI recommendations for critical business decisions

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SINHA RECCOM SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your use or inability to use the Service
• Errors, omissions, or inaccuracies in the Service or content
• Unauthorized access to or alteration of your data

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or INR 10,000 (whichever is lower).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sinha Reccom, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data you provide to the Service.

The Service may integrate with third-party services (e.g., Shopify, email providers). You acknowledge that:

• Your use of third-party services is subject to their respective terms and policies
• We are not responsible for the availability, accuracy, or practices of third-party services
• We do not endorse or assume responsibility for third-party services
• Any issues with third-party services should be directed to the respective service provider

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending an email notification to your registered email address
• Displaying a notice within the Service

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

In the event of any dispute, the parties agree to first attempt to resolve the matter through good faith negotiations. If such negotiations are unsuccessful, the dispute shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 2015, with the seat of arbitration in Bengaluru.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
